Terms of Service

These Terms of Service govern use of the SessionFlow platform by all users, including photographers, studios, and event operators. By creating an account or using the platform, you agree to be bound by these terms.
1. Overview
SessionFlow provides tools that assist photographers with session management and participant organization, image galleries and delivery, workflow coordination, and communication with session participants. SessionFlow does not act as the photographer, event organizer, or image rights holder. SessionFlow is a technology platform only. Use of the platform is subject to our Acceptable Use Policy, incorporated into these Terms by reference and set out in full below.
2. User Accounts
Users are responsible for maintaining the security of their account credentials, ensuring the accuracy of account information, and safeguarding login access from unauthorized use. Users must be at least 18 years old to create an account. If you provide information that is untrue, inaccurate, or incomplete, SessionFlow may suspend or terminate your account.
3. Electronic Communications Consent
By creating an account and using the SessionFlow platform, you consent to receive electronic communications from SessionFlow, including notices, updates, account information, and service-related messages. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. You hereby waive any rights or requirements under any laws that require an original signature or delivery of non-electronic records.
4. Ownership of Content
Photographers retain full ownership of all images, session content, and uploaded files. SessionFlow does not claim ownership of any uploaded images. By using the platform, photographers grant SessionFlow a limited, non-exclusive license solely to process and store images, deliver galleries to participants, and operate platform functionality. This license terminates when the photographer's account is closed and data has been deleted in accordance with the Data Retention Policy.
5. Photographer Responsibilities
Photographers are solely responsible for ensuring they have obtained all necessary rights, permissions, and consents for photographing participants, uploading and distributing images, and collecting and processing personal information. Photographers must comply with all applicable laws regarding image rights, privacy, consent, model releases, and data protection. SessionFlow does not control how photographers collect consent or use images and assumes no responsibility for photographer compliance failures.
6. Indemnification
Photographers and all users agree to defend, indemnify, and hold harmless SessionFlow, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses including reasonable attorney fees arising from or related to their use of the SessionFlow platform, any violation of these Terms, failure to obtain required consents or model releases, any claim by a session participant related to image capture, use, or delivery, and any violation of applicable law in connection with their use of the platform.
7. Disclaimer of Warranties
THE SESSIONFLOW PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR UNINTERRUPTED AVAILABILITY. During the beta period, the platform may contain errors, bugs, or incomplete features. Use of the platform is at the user's sole risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESSIONFLOW'S TOTAL CUMULATIVE LIABILITY TO ANY USER SHALL NOT EXCEED THE GREATER OF: (A) TOTAL FEES PAID BY THAT USER IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). IN NO EVENT SHALL SESSIONFLOW BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY.
9. Force Majeure
Neither SessionFlow nor its users will be responsible for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, pandemic, epidemic, government action, civil unrest, war, natural disaster, fire, flood, telecommunications or internet service interruption, power failure, or other events outside the reasonable control of the affected party. SessionFlow will notify affected users promptly following any force majeure event and will use diligent efforts to resume normal service as quickly as commercially practicable. If a force majeure event prevents SessionFlow from providing the platform for more than 30 consecutive days, affected users may terminate their subscription without penalty by providing written notice to support@sessionflow.com.
10. Payments
SessionFlow may integrate with third-party payment processors including Stripe. SessionFlow does not process or hold funds directly. All payment processing is governed by the terms of the applicable third-party processor. SessionFlow is not responsible for errors, fees, or failures attributable to third-party payment processors.
11. Platform Availability, Modifications, and Data Loss
SessionFlow does not guarantee uninterrupted or error-free service. The platform may experience maintenance, technical issues, downtime, or feature changes at any time. SessionFlow may modify, suspend, or discontinue any feature at its discretion. SessionFlow will make reasonable efforts to notify users of material platform changes in advance where feasible.
SessionFlow does not guarantee the permanent preservation of any session data, images, or galleries. While SessionFlow applies industry-standard security and backup practices, data loss can occur due to technical failure, force majeure events, account termination, or expiration of retention windows. Users are solely responsible for maintaining their own independent backups of all images, session records, and critical data. To the maximum extent permitted by applicable law and subject to the limitation of liability in Section 8, SessionFlow shall not be liable for data loss, corruption, or unavailability arising from causes outside SessionFlow's reasonable control.
12. Termination
SessionFlow may suspend or terminate any account, with or without notice, for violation of these Terms, unlawful activity, platform abuse, or security concerns. Upon termination, users have 30 days to export or retrieve their data before it is permanently deleted in accordance with the Data Retention Policy. If you are prohibited by SessionFlow from registering a new account under your name or the name of any third party, you may not re-register under a different name or identity.
13. Modifications to These Terms
SessionFlow may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after that date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must cease using the platform and may request account deletion.
14. Arbitration and Class Action Waiver
Any dispute arising from or relating to these Terms or the SessionFlow platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than through court proceedings, except where prohibited by applicable law. Proceedings shall take place in Cheyenne, Wyoming, or via remote hearing by mutual agreement. Each party bears its own costs unless the arbitrator determines otherwise. Users waive the right to participate in class action lawsuits or class-wide arbitration.
Small Claims Carve-Out: Either party may bring claims in small claims court where the claim qualifies under that court's jurisdictional limits, without first engaging in arbitration or the informal dispute resolution described above. This small claims option is available to both SessionFlow and users.
Opt-Out Right: You may opt out of this arbitration provision within 30 days of creating your account by emailing optout@sessionflow.com with your name and account email. Opting out does not affect your right to use the platform or any other rights under these Terms. If you opt out, SessionFlow will also not be bound by this arbitration provision with respect to disputes with you.
15. No Professional Liability
SessionFlow is a workflow technology platform, not a photography service, professional services firm, or agent of any photographer. SessionFlow is not responsible for: the quality or outcome of any photography session; missed, cancelled, or rescheduled sessions; disputes between photographers and their clients or participants; the commercial or professional results of any session managed through the platform; or any indirect business consequences arising from use or non-use of the platform. Photographers are solely responsible for their professional conduct, deliverables, and client relationships.
16. Assignment
SessionFlow may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, or change of control, without notice to users where not required by law. Users may not assign their rights or delegate their obligations under these Terms without SessionFlow's prior written consent. Any purported assignment in violation of this section is void.
17. Severability
If any provision or part of a provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any one provision does not affect the validity of the remaining Terms.
18. AI-Assisted Features
SessionFlow may incorporate AI-assisted features to support workflow, copywriting, communications, and image organization. AI-generated outputs may contain errors or inaccuracies. Users are responsible for reviewing AI-generated content before use in any professional or client-facing context. SessionFlow does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output. SessionFlow may modify, discontinue, or limit AI features at any time without notice.
19. Biometric Data
SessionFlow does not currently process biometric data in any form. If biometric or facial-recognition-adjacent features are introduced in the future, users will be provided with specific advance notice, the opportunity to review updated terms, and explicit consent mechanisms prior to any such processing. No biometric data of any kind is collected, stored, or processed by the current platform.
20. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. To the extent any dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction of the courts located in Cheyenne, Wyoming.
